Terms & Conditions

These Terms & Conditions (“Terms”) govern your access to and use of the ShipQuote application and services (“Service”) operated by ShipQuote (“we”, “us”, or “our”). By installing, accessing, or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Service Description

ShipQuote is a HubSpot integration that retrieves real-time shipping rates from carrier APIs (including FedEx and UPS) and writes those rates to line items on HubSpot quotes. The Service acts as an intermediary between your HubSpot account and the carrier rate APIs — it does not ship packages, generate shipping labels, or act as a freight broker.

2. Eligibility & Account

You must have a valid HubSpot account with quote functionality to use the Service. By connecting your HubSpot portal, you authorize ShipQuote to read and write data necessary to provide shipping rates, including but not limited to quote properties, line item properties, product properties, contact addresses, and company addresses.

You are responsible for maintaining the security of your HubSpot account credentials and any carrier API credentials you provide. You must not share your ShipQuote dashboard access with unauthorized parties.

3. Carrier Accounts & Credentials

To receive shipping rates, you must provide valid carrier account credentials:

You represent that you are authorized to use the carrier accounts you provide and that your use complies with the carrier’s own terms of service. ShipQuote is not responsible for the accuracy of rates returned by the carrier APIs, as these are determined solely by the carriers based on your account’s negotiated pricing.

4. Plans, Pricing & Billing

4.1 Subscription Plans

ShipQuote offers multiple subscription tiers (Free, Starter, Pro, and Enterprise). Each plan includes a monthly allocation of shipping rate requests. A “shipping rate request” is defined as one line item with valid weight or dimension data that is included in a carrier API call. Line items without shipping data (services, digital goods, etc.) do not count toward your usage.

4.2 Overage

On paid plans that include overage billing (Starter and Pro), requests exceeding your monthly allocation are billed at the per-request overage rate specified in your plan. On the Free plan, requests stop once the monthly limit is reached.

4.3 Billing Cycle

Paid subscriptions are billed monthly. You may upgrade or downgrade at any time. Upgrades take effect immediately; downgrades apply at the start of your next billing cycle. All fees are non-refundable except as required by applicable law.

4.4 Price Changes

We reserve the right to modify pricing with 30 days’ prior notice. Continued use of the Service after a price change constitutes acceptance of the new pricing.

ShipQuote accesses HubSpot data (quotes, line items, products, contacts, companies) solely to provide shipping rate calculations. We store the minimum data necessary to operate the Service, including your HubSpot portal ID, OAuth tokens, carrier credentials (encrypted), account settings, and rate audit logs.

We do not sell your data to third parties. Carrier API calls are made directly to FedEx and UPS using your own credentials; ShipQuote does not retain the full carrier API responses beyond what is needed for rate display and audit logging.

7. Intellectual Property

The Service, including its code, design, documentation, and branding, is owned by ShipQuote and protected by applicable intellectual property laws. These Terms do not grant you any right, title, or interest in the Service beyond the limited right to use it in accordance with these Terms.

FedEx and UPS are registered trademarks of their respective owners. ShipQuote is an independent third-party integration and is not affiliated with, endorsed by, or sponsored by FedEx Corporation or United Parcel Service, Inc.

8. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not guarantee that shipping rates returned by carrier APIs are accurate, current, or error-free. Rates are provided by the carriers based on your account terms and the shipment parameters supplied. You should verify rates independently before relying on them for binding commercial commitments.

We do not guarantee uninterrupted or error-free operation of the Service. Carrier API availability is outside our control.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SHIPQUOTE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNTS YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

10. Indemnification

You agree to indemnify, defend, and hold harmless ShipQuote and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising from your use of the Service, your violation of these Terms, or your violation of any third-party rights.

11. Termination

You may stop using the Service and uninstall it from your HubSpot portal at any time. We may suspend or terminate your access to the Service at any time for violation of these Terms, non-payment, or any other reason at our discretion, with or without notice.

Upon termination, your right to use the Service ceases immediately. Sections that by their nature should survive termination (including Disclaimers, Limitation of Liability, and Indemnification) shall survive.

12. Modifications to Terms

We may update these Terms from time to time. When we make material changes, we will update the effective date at the top of this page and, where practicable, notify you via email or through the Service. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

13. Governing Law & Disputes

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which ShipQuote operates, without regard to conflict of law principles. Any disputes arising under or in connection with these Terms shall be resolved through good-faith negotiation. If negotiation fails, disputes shall be submitted to binding arbitration under the rules of a recognized arbitration body in the applicable jurisdiction.

14. Third-Party Services

The Service integrates with third-party platforms (HubSpot, FedEx, UPS, Stripe). Your use of those platforms is governed by their respective terms of service. ShipQuote is not responsible for the availability, accuracy, or policies of third-party services.

15. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

16. Entire Agreement

These Terms, together with any applicable plan-specific terms and the FedEx EULA (if you connect a FedEx account), constitute the entire agreement between you and ShipQuote regarding the Service and supersede all prior agreements and understandings.
